1.1 These Terms and Conditions (“Terms”) govern the use by any promoter, venue, organiser, rights holder, event manager, agent, or other business user (“Promoter”, “you”, “your”) of the Ticketybox platform, website, products, services, tools, submission systems, advertising placements, launch-event functionality, and any related services made available by Ticketybox (“Ticketybox”, “we”, “us”, “our”).
1.2 By creating an account, submitting an event, purchasing a membership, listing an event, using any Ticketybox tools, or otherwise engaging our services, you agree to be bound by these Terms.
1.3 If you do not accept these Terms, you must not use Ticketybox.
1.4 These Terms are business-to-business terms. You confirm that you are acting in the course of business or on behalf of a venue, organiser, promoter, or event owner, and that you have authority to bind that business or person.
For the purposes of these Terms:
2.1 “Launch Event” means an event listed on Ticketybox during a time-limited pre-launch testing period in which the event will only proceed to “Live Event” status if the audience target set for that event is achieved within the stated launch period.
2.2 “Live Event” means:(a) an event that has successfully completed a launch period and met its audience target; or(b) an event listed on Ticketybox directly for advertising and onward ticket sales without first undergoing a launch test.
2.3 “Launch Period” means the period during which a Launch Event is visible as a launch-testing event on Ticketybox, typically 30 days unless otherwise stated by Ticketybox.
2.4 “Audience Target” means the minimum number of ticket reservations or launch ticket sales required for a Launch Event to proceed to Live Event status.
2.5 “Reservation Ticket Income” means the gross sums paid by customers through Ticketybox in relation to a Launch Event during its launch phase.
2.6 “Promoter Share” means the portion of Reservation Ticket Income due to the Promoter after deduction of Ticketybox’s fees, commissions, taxes, refunds, chargebacks, payment processing fees where applicable, and any other properly deductible sums under these Terms.
2.7 “Membership” means any monthly or recurring commercial package offered by Ticketybox to Promoters.
2.8 “Ticketing Platform” means any third-party ticketing, booking, checkout, or fulfilment platform chosen by the Promoter for Live Event sales, including but not limited to Eventbrite, Ticketmaster, Ticket Tailor, Skiddle, venue box office systems, or any other provider.
3.1 Ticketybox provides a launch-testing and event promotion platform. We are not, unless expressly agreed in writing, the organiser, producer, venue operator, rights holder, principal contracting party for the event itself, or provider of the event experience.
3.2 Ticketybox may:(a) publish and promote Launch Events and Live Events;(b) collect launch reservations or launch ticket sales for Launch Events;(c) display event content supplied by the Promoter;(d) redirect customers to the Promoter’s chosen Ticketing Platform for Live Event ticket sales;(e) process refunds in the circumstances set out in these Terms; and(f) exercise editorial, commercial, operational, technical, and compliance discretion over listings.
3.3 Ticketybox does not guarantee:(a) any minimum number of reservations, sales, impressions, clicks, or conversions;(b) that any event will reach its Audience Target;(c) that any listing will remain live for any minimum period unless expressly agreed; or(d) uninterrupted, error-free, or bug-free platform availability.
4.1 You warrant and represent that:(a) all information submitted by you is accurate, complete, current, and not misleading;(b) you have full legal right and authority to promote, advertise, market, and sell or arrange the sale of the relevant event and tickets;(c) your event, content, branding, images, copy, logos, music, performers, and related materials do not infringe any third-party rights;(d) your event complies with all applicable laws, regulations, licences, permits, venue requirements, insurance obligations, and industry codes;(e) where tickets will be sold through a third-party Ticketing Platform, you have full authority and agreement to use that platform; and(f) you will comply at all times with these Terms and with all reasonable Ticketybox instructions.
4.2 You are solely responsible for:(a) the lawfulness and viability of your event;(b) securing the venue, talent, licences, staffing, insurance, risk assessments, and compliance;(c) fulfilling all event obligations to customers once the event proceeds; and(d) all taxes, VAT, fees, commissions, levies, and charges payable by you to third parties.
5.1 Ticketybox may accept both Launch Events and Live Events for review.
5.2 All event submissions are subject to Ticketybox approval in our absolute discretion.
5.3 We may reject, remove, suspend, pause, edit, or refuse to publish any event listing, application, image, copy, or promotion at any time, with or without reason, including where:(a) information appears inaccurate, misleading, incomplete, unlawful, or commercially unsuitable;(b) we consider the proposed event, audience target, pricing, venue capacity, or commercial structure unrealistic or harmful to our brand;(c) publication could expose Ticketybox to legal, reputational, operational, or financial risk; or(d) the Promoter is in breach of these Terms.
5.4 Ticketybox may request additional information or evidence before approving an event.
5.5 The Promoter acknowledges that Ticketybox may review event viability and may suggest, but is not obliged to suggest, changes to capacity assumptions, Audience Targets, launch strategy, messaging, or pricing.
6.1 A Launch Event is listed for a defined Launch Period, usually 30-90 days unless otherwise stated.
6.2 During the Launch Period:(a) customers may reserve or purchase launch tickets through Ticketybox at the Launch Ticket Price displayed;(b) the Promoter must not interfere with the integrity of the launch process;(c) Ticketybox may display progress indicators, percentages, countdowns, targets, and launch messaging; and(d) Ticketybox may suspend or amend the listing where necessary for technical, legal, operational, or reputational reasons.
6.3 A Launch Event will be deemed successful if, by the end of the Launch Period, the Audience Target has been achieved in Ticketybox’s records.
6.4 If the Audience Target is achieved:(a) the Launch Event may automatically convert to a Live Event;(b) Ticketybox shall retain 10% of Reservation Ticket Income as Ticketybox’s commission;(c) the balance due to the Promoter shall be retained by Ticketybox until 24 hours after successful completion of the event; and(d) following successful completion, Ticketybox shall pay the Promoter Share by bank transfer upon receipt of a valid invoice.
e) Should the submission fee of £29.95 plus vat have been paid to Ticketybox, this will be refunded to the promoter
6.5 If the Audience Target is not achieved by the end of the Launch Period:(a) the event may be removed, unpublished, hidden, or archived from the public site;(b) Ticketybox may mark the event as failed, expired, or closed;(c) Ticketybox shall refund customers in accordance with its customer terms and refund procedures; and(d) no Promoter Share shall be payable.
e) Should the submission fee of £29.95 plus vat have been paid to Ticketybox, this will be retained by Ticketybox
6.6 Ticketybox may, at its discretion, extend, shorten, pause, relaunch, or otherwise manage a Launch Event where operationally sensible, but is under no obligation to do so.
7.1 A Live Event may be:(a) a former Launch Event that has met target; or(b) a standard event listed on Ticketybox without a testing phase.
7.2 For Live Events using a third-party Ticketing Platform:(a) the Promoter is solely responsible for all onward ticketing, fulfilment, seating allocation, ticket delivery, customer service, ticket terms, and event operation;(b) Ticketybox may display the event and redirect customers to the Promoter’s chosen Ticketing Platform; and(c) Ticketybox does not accept liability for the third-party ticketing journey, errors, outages, refund handling, or customer disputes arising from third-party ticket transactions.
7.3 Ticketybox may charge listing, membership, promotional, advertising, or other fees in connection with Live Events, as set out in these Terms, on the website, or in separate commercial terms.
8.1 The Promoter’s first submitted event is free of the submission fee, subject to Ticketybox’s right to withdraw or vary this offer at any time.
8.2 After the first free event, the submission fee for each additional event is £29.95 plus VAT.
8.3 Submission fees:(a) are payable in advance unless Ticketybox agrees otherwise;(b) are non-refundable except where Ticketybox expressly agrees otherwise in writing;(c) do not guarantee approval, publication, success, traffic, or conversion; and(d) may be varied by Ticketybox on notice.
8.4 Ticketybox may refuse to publish or continue to publish any event where fees remain unpaid.
9.1 Ticketybox may offer monthly membership packages to Promoters.
9.2 Membership features, pricing, included benefits, advertising entitlements, submission allowances, promotion credits, discounts, or other benefits shall be as stated on the Ticketybox website or in the applicable order form.
9.3 Membership fees shall be as advertised plus VAT per month, unless otherwise stated.
9.4 Membership renews automatically each billing cycle unless cancelled in accordance with these Terms.
9.5 Ticketybox may vary membership fees, features, or benefits by giving reasonable notice.
9.6 Membership is personal to the Promoter account and may not be transferred without Ticketybox’s written consent.
9.7 Ticketybox may suspend or terminate membership for non-payment, misuse, breach of these Terms, reputational risk, unlawful conduct, or abuse of promotional offers.
9.8 Any free trial, introductory rate, launch offer, or promotion:(a) may be withdrawn or amended at any time;(b) may be subject to eligibility criteria;(c) may not be combined with other offers unless stated; and(d) may be cancelled where Ticketybox believes the offer is being abused.
9.9 Unless expressly stated otherwise, membership fees are non-refundable.
10.1 For successful Launch Events, Ticketybox retains 10% of Reservation Ticket Income.
10.2 Ticketybox may also deduct or set off:(a) VAT;(b) payment processor charges, gateway charges, chargebacks, and fraud losses;(c) refunds, partial refunds, credits, or goodwill payments;(d) bank transfer fees and currency conversion costs;(e) any sums owed by the Promoter to Ticketybox under these Terms; and(f) any other amounts reasonably incurred by Ticketybox in connection with the event or collection of monies.
10.3 Ticketybox shall hold the Promoter Share until 24 hours after the successful completion of the event.
10.4 Ticketybox may delay payment:(a) where there is an unresolved complaint, refund request, chargeback, fraud concern, legal issue, or compliance concern;(b) where the event appears not to have taken place as represented;(c) where the Promoter has breached these Terms; or(d) where Ticketybox reasonably considers that retention is necessary to protect customers, Ticketybox, or third parties.
10.5 Payment shall be made by bank transfer upon receipt of a valid invoice from the Promoter.
10.6 Ticketybox is not obliged to make payment where the Promoter has not supplied complete invoicing and bank details.
10.7 Ticketybox may set off any sums payable to the Promoter against any sums owed by the Promoter to Ticketybox.
11.1 Ticketybox will refund customers in the event that:(a) a Launch Event fails to reach its Audience Target by the end of the Launch Period; or(b) the event is cancelled by the Promoter before successful completion.
11.2 The Promoter acknowledges and agrees that Ticketybox may process such refunds directly to customers without requiring the Promoter’s further consent.
11.3 Where the event is cancelled by the Promoter after a successful launch:(a) Ticketybox may refund customers in full from monies held;(b) the Promoter remains liable for any shortfall, costs, fees, chargebacks, processor deductions, or ancillary losses; and(c) Ticketybox may recover any such sums from the Promoter as a debt immediately due.
11.4 Ticketybox may, but is not obliged to, assist with refunds relating to Live Events sold through third-party Ticketing Platforms.
11.5 Nothing in these Terms limits any customer rights that cannot lawfully be excluded. CMA guidance on entertainment and event cancellations indicates that consumers will generally be entitled to a full refund of prepayments where an event is cancelled, rescheduled, or materially changed, and Ticketybox and the Promoter shall each act consistently with applicable consumer law.
12.1 The Promoter must notify Ticketybox immediately of any cancellation, postponement, rescheduling, material change, venue change, line-up change, or issue likely to affect customer expectations or legal compliance.
12.2 Ticketybox may, in its discretion:(a) suspend the listing;(b) notify customers;(c) pause sales;(d) process refunds;(e) remove the event; or(f) take any other reasonable customer-protection action.
12.3 The Promoter is solely responsible for any losses arising from cancellation or material change by the Promoter, save to the extent caused solely by Ticketybox’s wilful default.
13.1 Each party shall comply with all applicable data protection laws in the UK, including the UK GDPR and the Data Protection Act 2018.
13.2 The parties acknowledge that, depending on the circumstances:(a) Ticketybox may act as an independent controller in relation to customer account, platform, payment, refund, fraud-prevention, and operational data;(b) the Promoter may act as an independent controller in relation to its own customer, event, venue, and marketing activities; and/or(c) the parties may require a separate controller-to-controller or controller-to-processor arrangement where appropriate.
13.3 The ICO says organisations must identify whether they are acting as controllers, processors, or joint controllers, and ensure the relevant contractual protections are in place where required.
13.4 The Promoter shall only process personal data received from Ticketybox for lawful purposes connected with the relevant event and in accordance with applicable law.
13.5 The Promoter shall not:(a) misuse customer data;(b) sell, rent, or improperly share customer data;(c) contact customers for unrelated marketing without an appropriate lawful basis; or(d) retain personal data longer than necessary.
13.6 The ICO states that processing personal data requires a lawful basis under the UK GDPR, and in B2B marketing contexts the appropriate basis may vary, with contract and legitimate interests commonly relevant depending on the circumstances.
13.7 The Promoter shall indemnify Ticketybox against all losses, fines, claims, complaints, liabilities, and costs arising from the Promoter’s breach of data protection law.
13.8 Ticketybox may suspend data sharing, restrict access, or terminate services if it believes the Promoter’s data practices create legal or reputational risk.
14.1 Ticketybox may provide customer information to the Promoter where necessary for event fulfilment, seating, access, or operational purposes, subject to applicable law and Ticketybox policies.
14.2 Unless otherwise agreed in writing, the Promoter shall not treat customer data provided via Ticketybox as a general marketing database.
14.3 The Promoter shall not send electronic direct marketing to customers obtained through Ticketybox unless it has a lawful basis and any required consent under applicable law.
14.4 Ticketybox may use platform, transactional, analytical, and behavioural data for service operation, fraud prevention, reporting, product improvement, and marketing in accordance with its privacy notice and applicable law.
15.1 The Promoter grants Ticketybox a non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt, crop, resize, publish, distribute, and display all event content, logos, copy, images, videos, titles, and related materials for the purpose of operating, advertising, promoting, and marketing the event, Ticketybox, and the platform.
15.2 The Promoter warrants that it owns or controls all rights necessary to grant that licence.
15.3 Ticketybox may edit event copy and images for style, clarity, compliance, formatting, accessibility, SEO, or brand consistency.
15.4 Ticketybox retains all rights in the Ticketybox platform, brand, software, workflows, presentation, and business methods.
16.1 Ticketybox reserves absolute editorial and commercial discretion over:(a) whether to accept an event;(b) where and how an event appears on the site;(c) whether to feature, promote, deprioritise, or suppress an event; and(d) how launch messaging, targets, percentages, and labels are displayed.
16.2 Ticketybox may archive, hide, or unpublish events whose launch periods have expired and which have not reached target.
16.3 Ticketybox may remove any event immediately where it reasonably believes removal is necessary to protect customers, comply with law, or protect Ticketybox’s brand.
17.1 The Promoter shall:(a) keep all event details accurate and up to date;(b) respond promptly to Ticketybox queries;(c) honour all published event terms and representations;(d) comply with all health and safety, licensing, safeguarding, consumer, advertising, and regulatory requirements;(e) maintain adequate insurance; and(f) not do anything likely to damage the reputation of Ticketybox.
17.2 The Promoter shall not:(a) manipulate or artificially inflate reservations, targets, or demand;(b) use bots, fake accounts, self-dealing, or misleading promotion;(c) submit illegal, deceptive, offensive, defamatory, or infringing content; or(d) circumvent Ticketybox fees, commissions, or customer protections.
18.1 To the fullest extent permitted by law, Ticketybox excludes all implied warranties, representations, and conditions not expressly stated in these Terms.
18.2 Ticketybox shall not be liable for:(a) loss of profits, revenue, goodwill, business opportunity, anticipated savings, or indirect or consequential loss;(b) customer demand not materialising;(c) event failure or poor attendance;(d) venue, artist, organiser, or third-party ticketing issues;(e) outages, bugs, or interruptions beyond our reasonable control; or(f) losses caused by inaccurate or incomplete information supplied by the Promoter.
18.3 Ticketybox’s aggregate liability arising out of or in connection with these Terms shall not exceed the greater of:(a) the total fees actually paid by the Promoter to Ticketybox in the 3 months preceding the claim; or(b) £500.
18.4 Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.
18.5 The Promoter shall indemnify and keep indemnified Ticketybox against all claims, actions, losses, liabilities, damages, costs, fines, and expenses arising from:(a) the event itself;(b) the Promoter’s breach of these Terms;(c) infringement of third-party rights;(d) cancellation, postponement, rescheduling, or material change;(e) misuse of customer data; and(f) any claim by a customer, regulator, venue, artist, supplier, or third party caused by the Promoter’s acts or omissions.
18.6 Under the Unfair Contract Terms Act 1977, some exclusions and limitations are subject to reasonableness requirements, particularly where one party deals on another’s written standard terms of business. These Terms are intended to operate only to the extent enforceable.
19.1 Ticketybox may suspend or terminate the Promoter’s account, listings, membership, access, or services immediately if:(a) the Promoter breaches these Terms;(b) Ticketybox suspects fraud, misconduct, illegality, abuse, or reputational risk;(c) fees remain unpaid;(d) customer harm may arise; or(e) Ticketybox decides, in its discretion, to cease supporting the relevant event or account.
19.2 Termination shall not affect:(a) accrued rights;(b) Ticketybox’s right to retain fees already due;(c) Ticketybox’s right to process refunds, set off sums, or recover debts; or(d) any clause intended to survive termination.
20.1 All fees are exclusive of VAT unless expressly stated otherwise.
20.2 The Promoter is responsible for issuing valid invoices where payment from Ticketybox is due.
20.3 Ticketybox may withhold payment pending receipt of a compliant invoice and any information reasonably requested for finance, compliance, or anti-fraud purposes.
21.1 Ticketybox shall not be liable for any delay or failure caused by events beyond its reasonable control, including acts of God, venue closure, strikes, outages, cyber incidents, government action, public health events, supplier failure, or telecommunications disruption.
22.1 Each party shall keep confidential all non-public commercial, technical, and operational information disclosed by the other, except where disclosure is required by law or necessary to perform these Terms.
22.2 Ticketybox may disclose information where necessary for payment processing, compliance, fraud prevention, customer protection, legal advice, insurance, or dispute management.
23.1 Ticketybox may amend these Terms at any time by posting updated terms on its website or notifying the Promoter.
23.2 Continued use of Ticketybox after the effective date of updated Terms constitutes acceptance of them.
24.1 Ticketybox may assign, subcontract, or transfer any of its rights or obligations under these Terms.
24.2 The Promoter may not assign or transfer its rights or obligations without Ticketybox’s prior written consent.
24.3 If any provision is found unenforceable, the remainder of the Terms shall continue in effect.
24.4 Delay or failure by Ticketybox to enforce any right shall not operate as a waiver.
24.5 These Terms constitute the entire agreement between the parties in relation to their subject matter, unless supplemented by separate written commercial terms signed by Ticketybox.
25.1 These Terms are governed by the laws of England and Wales.
25.2 The courts of England and Wales shall have exclusive jurisdiction, unless Ticketybox elects to bring proceedings in another court of competent jurisdiction.
